In construction and real estate matters, Tom represents national and local owners, real estate developers, general contractors, subcontractors, and suppliers relating to commercial and industrial sites. His experience includes construction contracting and risk mitigation, commercial and industrial leasing, and real estate acquisition and disposition.
Tom also works closely with businesses and banks, assisting them with structuring, negotiating, and documenting financing, spin-offs and buyouts, partnership structuring, and succession transactions. Clients trust Tom from the early stages of corporate formation to later-stage growth, including founder-related matters, M&A, and corporate governance.
Tom serves as external general counsel to a number of companies. He helps manage their risk and outside legal needs, which includes proactively evaluating alternative dispute resolution options and representation in high-stakes litigation. He actively represents banks, credit unions, and other financial service providers in loan documentation and review, workouts and litigation involving bank loan and credit agreements, secured transactions, and other structured financing arrangements.
Tom earned his bachelor of arts degree from the University of Michigan and his Juris Doctor from the Michigan State University College of Law.
