For nearly 20 years, Kirk Morgan has served as a trusted counselor and attorney in Michigan to individuals, businesses, and health care providers on matters such as joint ventures, contract negotiations, real estate and development projects, business formation, partner buyouts, technology licensing, corporate governance, litigation, and mergers and acquisitions. Kirk assists his clients with contract review, drafting, and negotiation, entity creation, succession planning, mergers/acquisitions, asset acquisitions, stock and membership interest sales, buy/sell agreements, shareholder agreements, and general business interests and counseling. His clients include distributors, retailers, manufacturers, franchisors and franchisees, medical professionals, telecommunications, governmental contractors, and real estate holding companies.
Health Law. Representing physician practices, hospital systems, and health care vendors for over 10 years, Kirk is known for anticipating his clients’ needs in this highly regulated field. His experience includes matters related to compliance, joint ventures, technology, and fraud and abuse. To maintain his knowledge, he is an active member of the American Health Lawyers Association, State Bar of Michigan Health Law Section, and the West Michigan Alliance for Health.
Financial Transactions and Financial Institutions. Kirk’s financial institution clients range from national to community banks. In addition to working with private bankers and their clients, Kirk also represents lenders and borrowers in mortgage and asset-based financing transactions, commercial foreclosures, and work outs. Kirk prepares and negotiates loan documents and reviews and analyzes issues relating to collateral and guarantees. He also advises on loan participations, syndications and inter-creditor relationships.
Art Law. Kirk’s practice emphasizes the visual arts. He represents art collectors, artists and designers, creative businesses, cultural organizations and other diverse clients on a variety of art-related issues including negotiating, drafting and reviewing contracts, bills of sale, warranty provisions, serving as escrow agent, addressing estate planning questions and estate administration.
